Carna warrants that the Products will be of merchantable quality and consistent with current scientific findings, and that each shipment of Product supplied hereunder shall, at the time of sale, substantially conform to the specifications contained on its technical data sheets and/or Scope of Work. If the Product does not substantially conform to such specifications, Carna will, at its election, either replace the product free of charge or credit the purchase price to future purchases by the Customer. In order to take advantage of this limited warranty, the Customer must notify Carna of an alleged deficiency within 60 days of delivery of the Product by Carna.
Customer acknowledges that this limited warranty is in lieu of all other warranties, express or implied, including any warranties of merchantability or fitness for a particular purpose. Customer’s sole remedy is to obtain a replacement of the Product or a credit in the amount of its purchase price. Customer further acknowledges that results are only warranted to be consistent with current scientific findings.
Any provision herein to the contrary notwithstanding, in no event shall Carna be liable for indirect, incidental, or consequential damages of any kind or nature, even if Carna has been advised of the possibility of same, and in no event shall the liability of Carna (whether such liability arises from a claim based on contract, warranty, tort, or otherwise) exceed the actual amount paid by Customer to Carna for the Products.
The Company’s standard published warranties in effect at the time of shipment for the particular products shall apply. THESE WARRANTIES ARE EXCLUSIVE AND IN LIEU OF ALL OTHER WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE WARRANTY OF MERCHANTIBILITY OR FITNESS FOR A PARTICULAR PURPOSE. The liability of the Company (except as to title) arising out of the supplying of the product, or their use, whether on warranties, negligence, or otherwise, shall not in any case exceed the cost of correcting defects as stated in the applicable warranty and upon expiration of the warranty period such liability shall terminate and the foregoing shall constitute the sole remedy of the Customer and the exclusive liability of the Company. Under no circumstances will Company be liable for any loss, damage, expense or consequential damages arising in connection with the use, or inability to use, the products.
